Terms of Service

1. Services Overview

Detailer Systems provides website design, hosting, marketing automation, local SEO, CRM tools, messaging systems, and related digital services for car detailers and car washers.

Services are provided on a month-to-month subscription basis and may evolve over time as we improve the platform.

2. Subscription & Billing

• The current subscription price is $297 per month, billed in advance.
• There are no setup fees unless explicitly stated in writing.
• Subscriptions renew each month automatically unless canceled.
• You authorize us to charge your payment method on file for recurring fees.
• Prices may change in the future, but any changes will be communicated in advance.

3. No Contracts / Cancellation Policy

• There are no long-term contracts.
• You may cancel your subscription at any time.
• Cancellation takes effect at the end of your current billing period.
• No partial refunds are issued for unused time.
• Once canceled, your website and services may be taken offline after the billing period ends.

4. Ownership & Intellectual Property

What You Own

You retain ownership of:

• Your business name, logo, branding, and content you provide
• Your domain name (if purchased separately)
• Your customer data

What We License

Detailer Systems retains ownership of:

• Website templates
• System architecture
• Automations
• Custom workflows
• Internal tools and configurations

You are granted a license to use these assets while subscribed. This license ends upon cancellation.

5. Account Transfer & Offboarding

• Platform Infrastructure: Our systems are built natively on GoHighLevel. Transferring your assets out of Detailer Systems depends heavily on whether your new solution also utilizes the GoHighLevel platform.
• Transfer Eligibility: While your subscription is strictly month-to-month and you may cancel at any time, account transfers require you to have been an active, paid subscriber for a minimum of six (6) consecutive months.
• Early Transfer Buyout: If you request an account transfer prior to completing six months of service, you must pay the remaining balance of the six-month commitment before any transfer or data export is initiated.
• Transfers to GoHighLevel (Full Transfer): If you sign up for your own independent GoHighLevel account or move to another agency using GoHighLevel, we will work hand-in-hand with you to ensure a smooth transition. We will transfer the complete account snapshot, including all contacts, SEO data, the website, marketing systems, and the business phone number.
• Transfers to Non-GoHighLevel Platforms (Limited): If you migrate to a system outside of the GoHighLevel ecosystem, we can only export your contact records and CRM data. Due to software incompatibility, we cannot transfer functional websites, funnels, or automations. You must also elect whether to assume the financial responsibility of keeping your business phone number active or forfeit it entirely.
• Domain Transfers: If we registered and manage a domain name on your behalf, you must transfer it to your own domain registrar (e.g., GoDaddy, Namecheap) upon offboarding. You are solely responsible for paying any domain transfer or transaction fees incurred during this process.

6. Marketing & Performance Disclaimer

We do not guarantee specific results, including:

• A certain number of leads
• Revenue increases
• Search engine rankings
• Review counts

Results depend on multiple factors including market demand, competition, pricing, service quality, and responsiveness.

We provide systems and tools designed to improve performance, but results are not guaranteed.

7. Communication Services (Calls, Texts, Emails)

Detailer Systems provides messaging, calling, and automation tools.

You are responsible for:

• Obtaining customer consent for messaging
• Complying with all applicable laws (TCPA, CAN-SPAM, GDPR, etc.)
• Using these tools ethically and legally

We are not liable for misuse of messaging or communication systems.

8. Acceptable Use

You agree not to:

• Use the Services for unlawful purposes
• Send spam, misleading, or abusive messages
• Upload malicious content or code
• Attempt to reverse engineer or resell our systems

Violation may result in suspension or termination without refund.

9. Third-Party Services

Detailer Systems relies on third-party platforms (e.g., hosting providers, messaging carriers, analytics tools).

We are not responsible for:

• Outages or failures caused by third parties
• Changes to third-party pricing or policies
• Data loss due to third-party systems beyond our control

10. Limitation of Liability

To the maximum extent permitted by law:

• Detailer Systems is not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount paid by you in the last 30 days
• Use of our Services is at your own risk.

11. Indemnification

You agree to indemnify and hold harmless Detailer Systems from any claims, damages, or losses arising from:

• Your use of the Services
• Violation of these Terms
• Violation of any laws or third-party rights

12. Modifications to Terms

We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the updated Terms.

13. Termination

We reserve the right to suspend or terminate Services if:

• Payment fails
• Terms are violated
• Use of the system creates legal or operational risk

14. Governing Law

These Terms shall be governed by and interpreted in accordance with applicable laws, without regard to conflict of law principles.
